Terms of Use for Ubetoo

These Terms of Use (“Terms”) govern your access to and use of the Ubetoo website, mobile applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

1. Definitions

  • “Ubetoo,” “we,” “us,” or “our” refers to Yours Truly, a company registered in Denmark with its principal place of business in Frederiksberg, Denmark, operating under the brand name “Ubetoo.”

  • “User,” “you,” or “your” means any person who accesses or uses the Service, including registered account holders and unregistered visitors.

  • “Content” means any audio tracks, playlists, metadata, images, text, or other materials accessible through the Service, whether created by Ubetoo, Ubetoo’s AI engines, third-party artists, or other Users.

  • “Artist Content” means music tracks and associated metadata contributed by human artists who have been vetted and approved by Ubetoo.

  • “AI Content” means music tracks generated or assisted by artificial intelligence models under Ubetoo’s control.

  • “Royalty-Free License” refers to the license Ubetoo grants for personal, non-commercial use of its Content, as described in Section 5.

2. Acceptance of Terms

1. By creating an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at Privacy Policy), and any additional guidelines or rules posted on the Service.
2. If you are accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” shall refer to that organization.
3. These Terms constitute a legally binding agreement between you and Ubetoo. If you do not agree, do not use or access the Service.

3. Eligibility

1. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the required age, you must not register for an account or provide any Personal Data.
2. By using the Service, you represent and warrant that you meet the eligibility requirements in your jurisdiction, that you have full power and authority to enter into these Terms, and that you will comply with all applicable laws and regulations.

4. Account Registration and Security

1. Certain features of the Service (e.g., downloading tracks, creating playlists, submitting Artist Content) require registration. When you register, you must provide accurate, complete, and up-to-date information. You agree to maintain and promptly update your registration information to keep it accurate.
2. You are responsible for safeguarding your password and any account credentials. You must not share your account login information with anyone. If you suspect unauthorized access or breach of your account, you must notify us immediately at [email protected].
3. You agree not to register for more than one personal account unless expressly permitted by Ubetoo.
4. We reserve the right to suspend or terminate accounts that use false information, violate these Terms, or engage in suspicious or fraudulent activity.

5. License to Use Content

1. Personal, Non-Commercial Use. Subject to your compliance with these Terms, Ubetoo grants you a limited, non-exclusive, non-transferable, royalty-free license to stream, download, and reproduce Content solely for personal, non-commercial purposes. This includes:

  • Streaming tracks directly on the Service.

  • Downloading tracks to your device for offline listening or personal projects (e.g., home videos, podcasts, school projects), provided those projects are not used for commercial gain.
    2. Restrictions on Use. You may not:

  • Sell, sublicense, distribute, rent, lease, or otherwise exploit any Content for commercial purposes.

  • Upload, post, or share Content on any other music streaming or download platform, website, or social network if that platform derives revenue from user plays or downloads (unless you hold separate, written permission from Ubetoo).

  • Use Content in any project, performance, or work that generates direct or indirect revenue—for example, monetized YouTube videos, commercials, or paid live events—without first obtaining Ubetoo’s written permission or a separate commercial license.

  • Modify or create derivative works of Content for commercial distribution.
    3. Ubetoo’s Rights. All rights, title, and interest in and to the Content (including all intellectual property rights) remain the exclusive property of Ubetoo or its licensors. No ownership rights are transferred to you under these Terms.

6. Prohibited Activities

When using the Service, you agree not to:

1. Violate any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights).
2. Sell, resell, rent, lease, transfer, sublicense, or otherwise exploit the Service or any Content for any commercial purpose, except as expressly permitted by Ubetoo.
3. Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service or any part thereof.
4. Use any automated system (e.g., robots, spiders, scrapers) to access, monitor, or copy any part of the Service without Ubetoo’s prior written permission.
5. Circumvent, disable, or otherwise interfere with security-related features of the Service, including digital rights management, location-based restrictions, or access controls.
6. Interfere with another User’s use and enjoyment of the Service, including harassing, stalking, or abusing any other individual.
7. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
8. Upload, post, transmit, or make available any Content that is unlawful, defamatory, obscene, pornographic, harassing, hateful, racially or ethnically offensive, or otherwise objectionable.
9. Upload any viruses, Trojan horses, worms, or other malware or otherwise compromise the security or integrity of the Service.
10. Use the Service in any manner that could impair, overburden, or disable the Service (e.g., denial-of-service attacks).

7. User-Generated Content and Artist Submissions

7.1 Playlists, Ratings, and Comments

1. When you create playlists, rate tracks, or post comments or reviews on the Service, you grant Ubetoo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, publicly display, and otherwise exploit that User-Generated Content for any purpose, including marketing, promoting, or improving the Service.
2. You represent and warrant that you own or control all rights to any User-Generated Content you submit and that your submission does not violate any applicable laws or third-party rights.
3. Ubetoo reserves the right (but is not obligated) to review, monitor, remove, or modify any User-Generated Content at its sole discretion without notice.

7.2 Artist Content Submission

1. Artists who wish to contribute original music (“Artist Content”) must create a separate Artist account and complete the submission application, including uploading audio files, metadata, artwork, and any promotional materials.
2. By submitting Artist Content, you represent and warrant that:

  • You are the sole and exclusive owner of the submitted Content or have all necessary rights, licenses, consents, and permissions to grant the rights described below.

  • The Content is entirely original or, if you incorporate third-party material, you have obtained all required rights and permissions.

  • The Content does not infringe or violate any third-party rights, including copyright, trademark, privacy, publicity, or moral rights.

  • The Content is free of any claim, lien, or encumbrance and does not contain defamatory, obscene, or unlawful material.
    3. By submitting Artist Content, you grant Ubetoo an exclusive, royalty-free (except as stated below), worldwide license to:

  • Host, stream, download, reproduce, distribute, and publicly display or perform the Content through the Service.

  • Use your name, artist name, likeness, biography, and associated metadata for promotional, marketing, and advertising purposes, in any media now known or later developed.
    4. Compensation. Unless Ubetoo and you enter into a separate written agreement, Ubetoo is under no obligation to pay royalties or any other compensation for Artist Content used on the Service. However, Ubetoo may, at its sole discretion, offer promotional opportunities or feature your music in curated playlists without additional remuneration.
    5. Ubetoo reserves the right to reject, remove, or disable access to any Artist Content at any time if it determines, in its sole discretion, that the Content violates these Terms or is otherwise inappropriate.

8. Intellectual Property Rights

1. All elements of the Service, including but not limited to the Ubetoo name, logos, graphics, icons, design, compilation of Content, and underlying software and technology, are owned by Ubetoo or its licensors and are protected by copyright, trademark, trade dress, patent, and other intellectual property laws.
2. You acknowledge and agree that Ubetoo retains all right, title, and interest (including all intellectual property rights) in and to the Service and Content, subject only to the limited rights expressly granted to you in these Terms.
3. Any unauthorized use of the Service or Content may result in immediate termination of your account and may subject you to civil and criminal liability.

9. Third-Party Links and Services

1. The Service may contain links to third-party websites, applications, or services (“Third-Party Services”) that are not owned or controlled by Ubetoo. We do not endorse or assume any responsibility for any such Third-Party Services or their content.
2. If you access any Third-Party Service, you do so at your own risk, and you agree that Ubetoo has no liability arising from your use of or reliance on any Third-Party Service.
3. Any transactions between you and a third party are solely between you and that third party. You agree that Ubetoo is not liable for any loss or damage of any sort incurred as the result of any such transaction.

10. Modifications to the Service

1. Ubetoo reserves the right to modify, update, suspend, or discontinue any aspect of the Service at any time, with or without notice, including the availability of any Content.
2. We may impose limits on certain features or restrict your access to parts of or the entire Service without notice or liability.
3. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Termination

1. By You. You may terminate your account at any time by following the instructions on the “Account Settings” page or by sending a request to [email protected]. Upon termination, your rights to access and use the Service will immediately cease.
2. By Ubetoo. We may suspend or terminate your account, refuse access to the Service, or remove Content at any time, without notice or liability, if we believe you have violated these Terms or for any other reason at our sole discretion.
3. Survival. Upon termination or expiration of your account, any provisions of these Terms that by their nature survive termination shall continue in full force and effect—this includes, but is not limited to, Sections 5 (License to Use Content), 6 (Prohibited Activities), 8 (Intellectual Property Rights), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), and 13 (Indemnification).

12. Disclaimer of Warranties

1. THE SERVICE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND—EITHER EXPRESS OR IMPLIED—INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
2. UBETOO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
3. UBETOO DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE OR CONTENT IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

13. Limitation of Liability

1. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UBETOO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE OR CONTENT, EVEN IF UBETOO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. IN NO EVENT SHALL UBETOO’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
3. THE WARRANTY DISCLAIMERS AND LIMITATIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ubetoo, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
1. Your violation of these Terms;
2. Your use of the Service in contravention of applicable law;
3. Your infringement or violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights;
4. Your User-Generated Content (including any claims brought by other Users or third parties).

15. Governing Law and Dispute Resolution

1. These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-law provisions.
2. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of Copenhagen, Denmark. You waive any objection to jurisdiction and venue in those courts.
3. If either party brings a claim in court to enforce these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorneys’ fees.

16. Changes to These Terms

1. Ubetoo reserves the right to modify or update these Terms at any time. We will post a revised version on the Service with a new “Last updated” date.
2. If we make material changes that significantly affect your rights or obligations, we will provide you with reasonable notice (e.g., email notification or banner on the Site) prior to such changes taking effect.
3. By continuing to access or use the Service after we publish the revised Terms, you agree to be bound by the updated Terms. If you do not agree with any changes, you must stop using the Service.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

18. Waiver

No waiver of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to enforce any provision of these Terms shall not constitute a waiver of such provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, any additional guidelines or rules posted on the Service, and any documents expressly incorporated herein by reference, constitute the entire agreement between you and Ubetoo regarding the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating to the Service.
